Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Stock Portfolio System platform ("SPS", "the Service"). By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By registering for or using SPS, you confirm that you are at least 18 years of age, have the legal capacity to enter into a contract, and agree to these Terms and our Privacy Policy.

2. Account Registration

  1. You must provide accurate, current, and complete information during registration and keep it up to date.
  2. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  3. You must notify us immediately at support@sps.app if you suspect any unauthorised use of your account.
  4. You may not create more than one account per person without prior written consent.

3. Licence to Use the Service

  1. SPS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes, subject to these Terms.
  2. You are paying for access to the software, not ownership of it. All intellectual property rights in the Service, including the underlying source code, design, and branding, remain exclusively with SPS.
  3. You may not copy, reverse engineer, decompile, resell, or create derivative works based on the Service without our prior written permission.

4. Acceptable Use

You agree not to:

  1. Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  2. Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  3. Use automated tools (bots, scrapers) to access the Service except via the officially documented API and within your plan's rate limits.
  4. Upload or transmit malware, viruses, or any malicious code.
  5. Harass, abuse, or threaten SPS employees or other users.
  6. Use the Service to engage in money laundering, terrorist financing, or any other financial crime.

5. Billing and Payments

  1. Subscription fees are charged in advance on a monthly or annual basis, depending on the plan you select.
  2. All prices are displayed in BDT (Bangladeshi Taka) unless otherwise stated and are inclusive of applicable taxes.
  3. Payments are processed by third-party gateways (Stripe, M-Pesa). SPS does not store your full card or wallet credentials.
  4. Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  5. We offer a full refund within 7 days of a new subscription. Subsequent billing periods are non-refundable unless required by law.

6. Suspension and Termination

  1. We reserve the right to suspend or terminate your account immediately and without notice if you violate these Terms, fail to pay fees, or engage in fraudulent or abusive behaviour.
  2. You may terminate your account at any time by deleting it from Settings. Upon termination, your access to the Service will cease immediately.
  3. Upon termination, your data will be retained in read-only form for 30 days to allow export, then permanently deleted.
  4. Clauses relating to intellectual property, limitation of liability, and dispute resolution survive termination.

7. Not Financial Advice

The Service provides data, analytics, and portfolio tracking tools. Nothing in or delivered by the Service constitutes financial, investment, tax, or legal advice. You should consult a qualified professional before making any investment decision. See our Disclaimer for details.

8. Service Availability

We aim for 99.9% uptime but cannot guarantee uninterrupted service. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for losses caused by service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, SPS's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the fees you paid in the three months preceding the claim. SPS is not liable for indirect, incidental, special, or consequential damages, including lost profits or investment losses.

10. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes will be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email and via an in-app banner at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
